Terms of Service

1. Agreement to Terms

By accessing or using CollectIQ (“Service”), operated by CollectIQ (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Description of Service

CollectIQ provides a platform for collectibles businesses to:

• Capture and manage customer want requests
• Match inventory to customer demand
• Process matches and facilitate transactions
• Access analytics and business intelligence tools
• Integrate via API with third-party systems

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service.

4. Subscription and Payment

4.1 Billing

Some features of the Service require payment. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Payments are processed by Stripe.

4.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for renewal fees.

4.3 Refunds

Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. If you cancel your subscription, you will continue to have access until the end of your current billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate the intellectual property rights of others
• Transmit harmful code, malware, or interfere with the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to send spam or unsolicited communications
• Resell or redistribute the Service without authorization
• Scrape, data mine, or extract data from the Service except via authorized APIs
• Circumvent usage limits or access controls

6. Your Content

You retain ownership of any content you submit to the Service (“Your Content”). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of operating and improving the Service.

You represent that you have all necessary rights to submit Your Content and that Your Content does not violate any third party's rights.

7. API Terms

If you use our API, you additionally agree to:

• Comply with all rate limits and usage quotas for your plan
• Keep your API keys confidential and secure
• Not use the API in a way that could damage, disable, or impair the Service
• Attribute CollectIQ when required by your plan or use case

We may suspend or terminate API access for violations of these terms.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by CollectIQ and protected by international copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COLLECTIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless CollectIQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. You may export your data before termination. We may retain certain data as required by law or for legitimate business purposes.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
